These Terms and Conditions (“Terms”) govern your access to and use of our website nawxe.com (“Site”) and all related services, including wholesale, OEM/ODM manufacturing, and product orders. By accessing our Site or placing an order, you (“you” or “Customer”) agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Site or services.
1. Definitions
- “Products”: All yoga apparel, activewear, and related goods offered for sale on our Site.
- “Wholesale Order”: Any bulk purchase of Products for resale or commercial use.
- “Custom Order”: Any order requiring OEM/ODM customization, including but not limited to private labeling, custom fabrics, or bespoke designs.
- “Order”: Any confirmed request by you to purchase Products from us.
2. Eligibility
By using our Site and services, you represent and warrant that:
- You are at least 18 years of age or have the legal capacity to enter into these Terms.
- If you are acting on behalf of a business entity, you have the authority to bind that entity to these Terms.
- All information provided to us during registration or ordering is true, accurate, and complete.
3. Order Acceptance & Cancellation
- Order Confirmation: An order is not binding until we issue a written order confirmation via email. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to cases where the product is out of stock, pricing errors exist, or we suspect fraudulent activity.
- Cancellation:
- Standard Orders: You may cancel your order within 24 hours of confirmation, provided production has not begun.
- Custom Orders: Custom orders cannot be canceled once production has started, as they are manufactured specifically to your specifications.
4. Pricing & Payment Terms
- Pricing: All quotations we provide are denominated in USD and do not include shipping, handling, customs duties, or taxes unless explicitly stated. We reserve the right to adjust prices without prior notice.
- Payment Methods: We accept bank transfers, wire transfers, and other methods as specified on our Site.
- Payment Terms:
- For orders under [amount], full payment is required before production begins.
- For large wholesale orders, we may require a 30% deposit upon confirmation, with the remaining 70% due before shipment.
- Late payments may result in order delays or cancellation, and you may be responsible for additional fees or interest charges.
5. Product Customization & Specifications
- OEM/ODM Services: Custom orders are subject to your provided specifications, including designs, colors, fabrics, and labels. You are responsible for ensuring all designs do not infringe on third-party intellectual property rights.
- Sample Approval: For custom orders, we may provide pre-production samples. Production will not begin until you have approved the sample in writing. Minor variations between samples and final products are considered acceptable and do not constitute a breach of these Terms.
- Fabric & Color Variations: Due to manufacturing processes and display differences, slight variations in fabric texture, color, and fit may occur between the final product and images on our Site.
6. Shipping & Delivery
- Shipping Methods: We offer express courier, air freight, and sea freight options, as detailed in our Shipping Policy.
- Delivery Times: Estimated delivery times are provided for reference only and are not guaranteed. Delays may occur due to customs, weather, carrier issues, or other circumstances beyond our control.
- Risk of Loss: Risk of loss or damage to Products passes to you upon delivery to the carrier. We are not liable for any loss, damage, or delay once the shipment is in the carrier’s possession.
7. Inspection & Returns
- Inspection: You must inspect all Products upon delivery and notify us of any defects, damages, or discrepancies within 7 business days of receipt. Failure to notify us within this period constitutes acceptance of the order.
- Returns & Refunds:
- Standard Orders: We may accept returns of unused, unwashed, and undamaged Products within 30 days of delivery for a refund or exchange, subject to our inspection and a 15% restocking fee. Return shipping costs are your responsibility.
- Custom Orders: Custom products are non-returnable and non-refundable unless they are defective or do not match the approved specifications. In such cases, we will either replace the defective items or issue a partial refund at our discretion.
8. Intellectual Property Rights
- All content on our Site, including text, images, logos, designs, and trademarks, is the property of Nawxe and protected by copyright, trademark, and other intellectual property laws.
- You may not copy, reproduce, distribute, or modify any content from our Site without our prior written consent.
- You retain ownership of any custom designs you provide to us, but you grant us a limited license to use those designs solely to manufacture your order.
9. Limitation of Liability
- To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or business interruption, arising out of or related to your use of our services or Products.
- Our total aggregate liability to you for any claim related to your order shall not exceed the total amount paid by you for that order.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nawxe, its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising out of or related to:
- Your breach of these Terms.
- Your use of our Site or Products.
- Any custom designs or specifications provided by you that infringe on third-party rights.
11. Modifications to Terms
We reserve the right to modify these Terms at any time, with changes effective upon posting on our Site. Your continued use of our Site after changes are posted constitutes your acceptance of the new Terms.
